JASA BY-LAWS and CONSTITUTION
ARTICLE I - Name. The name of the organization shall by the Jacksonville Area Soccer Association (JASA)
ARTICLE II - Purpose. The purpose of this Association is to foster, promote and advance the cause of youth soccer and to guard the interests of the teams and players in the Association.
ARTICLE III - Membership. There shall be "member teams" as well as "individual members" of the Association. "Member teams" shall be those teams which are sponsored and sanctioned by the Association either in recreational, challenge or classic competition. "Individual members" shall be the duly registered players, coaches, assistant coaches, team managers and the parents or legal guardians of duly registered players. "Voting members" of the Association shall be the parents or legal guardians of duly registered players on a "member team" and the duly registered coach, assistant coach or manager of a "member team."
ARTICLE IV - The Board of Directors of the Association shall be composed of the duly elected officers of the Association and such coordinators or chairpersons of standing committees as are appointed by the duly elected officers of the Association. The Board of Directors shall not exceed twelve (12) persons.
ARTICLE V - Elected Members of the Association. The elected officers of the Association, which shall constitute the Executive Committee, are:

Treasurer
Commissioner
ARTICLE VI - Vacant Office of President. If the office of President shall become vacant, the Vice-President shall assume the office of President until his or her replacement is elected at the next annual meeting. Vacancies in all other offices shall be filled by vote of Board of Directors.
ARTICLE VII - Term of Office. The term of office for officers, and for appointed Board Members, shall be from September 1 through August 31 of the following year. The officers of the Association may be elected to successive terms.
ARTICLE VIII - Executive Committee Authority. The Board of Directors shall transact all business of the Association and shall have the power and authority to conduct business of the Association in accordance with guidelines established by the United States Youth Soccer Association and the North Carolina Youth Soccer Association. The Board of Directors shall also conduct the business of the Association in accordance with the rules and regulations of any voluntary alliances (i.e. Eastern Carolina Soccer Association, etc.) in which the Association might be involved so long as the rules and regulations of such voluntary alliance are not in conflict with the rules and regulations of USYSA and NCYSA.
ARTICLE IX - Team Formation. The Board of Directors is to establish guidelines for the formation of recreational soccer teams and for the selection of challenge and classic soccer teams in such a manner as is in keeping with NCYSA and USYSA guidelines.
ARTICLE X - Power and Authority to Discipline/Appeals. The Board of Directors shall have the power and authority to discipline its members (i.e., teams, coaches and assistant coaches, players and parents or guardians). Any appeal from decisions of the Board of Directors shall be to the Protest and Appeals Committee of the North Carolina Youth Soccer Association.
ARTICLE XI - Responsibilities of Executive Committee Officers. The responsibilities of the officers of the Association shall include the following:
The President shall serve as the official spokesman of the Association, preside at all Executive Committee and Association meetings, and shall assist the other officers in the performance of their duties.
The Vice-President shall preside at Association and Executive Committee meetings in the absence of the President.
The Secretary shall, with the assistance of duly appointed registrars and others, maintain an accurate roster of members of the Association and shall perform other duties as assigned by the Executive Committee and the President.
The Treasurer shall take charge of all money of the Association, maintain an accurate record of all income and disbursements, prepare and present periodic Treasurer's reports and perform other duties as requested by the Executive Committee or the President.
The Commissioner shall be responsible for the alignment of recreational teams, the selection and approval of coaches and assistant coaches and shall serve as the official Association representative to the Eastern Carolina Soccer Association.
ARTICLE XII - Annual Meeting. There shall be an annual meeting of the Association open to all coaches, assistant coaches, team managers, parents and guardians of players between August 1 and August 31 beginning in 2000. There shall be meetings of the Board of Directors at such time as deemed necessary by the President. A quorum for all Association meetings shall be fifteen (15) voting members. A quorum for all Board of Directors meetings shall be six (6) members.
ARTICLE XIII - Standing Committees. Standing committees of the Association shall be organized and shall function under the leadership of a duly appointed chairperson. The chairperson of all standing committees shall serve at the pleasure of the Board of Directors.
ARTICLE XIV - Amendments to the Constitution and By-laws. The Constitution and By-laws of the Association may be amended by a two-thirds majority vote of voting members present at a general meeting of the Association or at a special meeting of the Association that has been duly advertised in a local newspaper at least six (6) times during the fourteen (14) day period preceding such a special meeting. In addition, the time, place and purpose of a special meeting shall be communicated to members by sending letters to the registered coach or manager of each member team.
ARTICLE XV - The By-laws and Robert's Rules of Order shall be the parliamentary authority for this Association.
